1B) Gates Mectrol

Tomkins plc acquired Mectrol Corporation in December 2004.

Gates Mectrol is a leading manufacturer of polyurethane timing belts and motion-control components for the industrial markets. Gates Mectrol currently employs more than 180 people and operates manufacturing and sales facilities in Salem, New Hampshire, Pfungstadt, Germany, and Cuautla, Mexico.

Stackpole’s products include gears and sprockets, automotive pumps and planetary carriers primarily for use in automotive engines and transmissions. The company has more than 1,500 skilled employees at six operating facilities in Canada and the United Kingdom.

2A) Gates

Gates offers an extensive line of hose and tubing for automotive and industrial customers. Gates also offers a broad line of hydraulic hose and couplings for high pressure and high impulse hydraulic applications, featuring fabric and wire braid designs.

Gates, including Gates Mectrol, manufactures hoses internationally in 19 plants in 8 different countries.

Tomkins plc acquired Eifeler Maschinenbau GmbH (EMB), a division of Heitag Beteiligung GmbH, in June 2005.

With more than 50 years of history, EMB is a world-class manufacturer of hydraulic tube connection systems for a variety of applications. The company is headquartered in Euskirchen, Germany and has subsidiary operations in Spain and China.

3A) Schrader® Electronics

Schrader® Electronics is the market and technology leader in remote tyre pressure monitoring systems (RTPMS). The RTPMS allows drivers to monitor their vehicle’s tyre pressure by using electronic sensors attached to the tyre valves to transmit pressure data from each wheel to displays on the instrument panel, rear view mirror or key fob. Schrader® Electronics has been awarded contracts with many of the leading automotive manufacturers to supply its RTPMS technology. Schrader® Electronics is based in Northern Ireland and has over 500 employees.

5C) Ruskin NRG Group

Ruskin manufactures a variety of products, including louvers, dampers, ventilators, axial prop blades, centrifugal fans and components and spiral duct. These products are destined primarily for the North American commercial and industrial construction markets. Ruskin operates from ten plants in the US, one plant in Thailand, one plant in Canada and two plants in Mexico.

In October 2005, Ruskin acquired NRG Industries Inc., a privately held company based in Carrollton, Texas. NRG is a multi-brand manufacturer of commercial HVAC accessories and systems with three operating subsidiaries: Rooftop Systems Inc., National Duct Systems Inc., and Glass Master Inc. In October 2006, Ruskin acquired Eastern Sheet Metal, a Cincinnati, Ohio based manufacturer of spiral duct for commercial HVAC markets.

5E) Ruskin Air Management

Ruskin Air Management Limited was formed in January 2000 when the UK businesses Air Diffusion and Actionair were acquired. Manufacturing from two plants in the UK, the operation plays an important role in developing the supply of air distribution products into European markets. Ruskin Air Management brands of Actionair, Air Diffusion and Naco continue to trade in their own distinctive styles to their core markets.

6B) Philips

Philips Products operates from seven plants across the US, manufacturing vinyl windows and doors for new housing and refurbishment. The Ventline division produces exhaust hoods and ventilation fans for manufactured housing and recreational vehicles.
